These Terms of Use (“Terms”) govern your access to and use of the websites, cloud services, software, APIs, developer tools, and related products provided by SQLite Cloud, Inc. (“SQLite Cloud,” “we,” “us,” or “our”).

By accessing or using our services, you agree to these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to accept these Terms on its behalf.

If you do not agree to these Terms, please do not use our services.

1. Our Services

SQLite Cloud provides cloud-hosted database services, database synchronization, APIs, software extensions, developer tools, and related technologies (collectively, the “Services”).

We may improve, update, modify, or discontinue parts of the Services from time to time. We will make reasonable efforts to notify affected customers of material changes that negatively impact their use of the Services.

Certain software components may be distributed under open-source licenses. Those licenses govern the use, modification, and distribution of the applicable software and take precedence over these Terms where they conflict.

2. Accounts and Responsibilities

To access certain Services, you may need to create an account.

By creating an account, you agree to:

You must be at least 18 years old to create an account.

You may not use the Services to distribute malicious software, interfere with our infrastructure, access systems without authorization, or engage in activities that violate applicable laws or the rights of others.

We may apply reasonable technical limitations to protect the security, stability, and availability of our infrastructure.

3. Your Data

You retain full ownership of all data you store, upload, process, or synchronize using our Services (“Customer Data”).

SQLite Cloud does not claim ownership of Customer Data.

You grant SQLite Cloud a limited right to store, process, transmit, and otherwise handle Customer Data solely as necessary to provide, maintain, secure, support, and improve the operation of the Services.

We will not sell Customer Data or use its contents for advertising.

You are responsible for ensuring that you have the necessary rights and permissions to store and process Customer Data through our Services and that your use complies with applicable laws, including data protection regulations.

You are also responsible for configuring appropriate access controls and security settings for your applications and databases.

4. Security, Backups, and Availability

We take reasonable technical and organizational measures to protect the security and integrity of our Services and Customer Data.

Our infrastructure may include backup, replication, monitoring, and recovery mechanisms designed to reduce the risk of data loss and service interruptions.

However, no system can guarantee absolute security, uninterrupted availability, or complete protection against data loss.

You are responsible for maintaining appropriate independent backups of any data that is important to you.

Unless expressly agreed otherwise in a separate written agreement, SQLite Cloud does not guarantee any specific level of uptime, data recovery, or service availability.

We may temporarily interrupt access to the Services for maintenance, upgrades, security reasons, or circumstances beyond our reasonable control.

5. Pricing and Payments

Certain Services are available free of charge, while others require payment.

Paid Services may be billed through recurring subscriptions, usage-based pricing, or a combination of both, as described on our website or in your account.

By subscribing to a paid Service, you agree to:

Recurring subscriptions automatically renew unless canceled.

We may update our pricing from time to time. For existing subscriptions, we will provide reasonable advance notice of material pricing changes.

You may cancel a paid subscription at any time. Cancellation takes effect immediately, and we will refund the unused prepaid portion of your subscription on a prorated basis.

Charges for usage already incurred remain payable and are not refundable, except where required by law.

We may suspend or restrict access to paid Services if payment is overdue, after providing reasonable notice when possible.

6. Cancellation and Data Deletion

You may stop using our Services or terminate your account at any time.

When your account is terminated, your access to the associated Services will end, and your active Customer Data will be deleted from our systems as part of the termination process.

Some information may remain temporarily in backup systems, technical logs, or records that we are legally required to retain. Backup copies will be deleted according to our applicable retention procedures.

You are responsible for exporting or backing up your Customer Data before terminating your account.

Once your data has been deleted, it may not be recoverable.

SQLite Cloud may suspend or terminate your access if you materially violate these Terms, fail to pay applicable fees, create security risks, or use the Services in a manner that could harm our infrastructure or other users.

Whenever reasonably possible, we will provide notice and an opportunity to resolve the issue before taking action. Immediate suspension may be necessary for security, legal, or operational reasons.

7. Intellectual Property

SQLite Cloud and its licensors retain all rights, title, and interest in the Services, including their software, technology, trademarks, documentation, and related intellectual property.

Subject to these Terms and any applicable software licenses, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your own lawful purposes.

Nothing in these Terms transfers ownership of SQLite Cloud’s intellectual property to you.

Open-source software remains subject to its respective open-source licenses.

Any feedback or suggestions you voluntarily provide may be used by SQLite Cloud to improve its products and services without compensation or obligation to you.

8. Privacy

Your privacy is important to us.

Our collection and handling of personal information are described in our Privacy Policy.

When you use our Services to process personal information belonging to your own users or customers, you are responsible for ensuring that you have an appropriate legal basis for that processing and that you comply with applicable privacy and data protection laws.

Where applicable law requires additional contractual arrangements for the processing of personal data, those arrangements must be established separately.

9. Disclaimers

We work to provide reliable, secure, and high-quality Services.

However, to the maximum extent permitted by applicable law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied.

We do not guarantee that the Services will always be uninterrupted, error-free, secure, or suitable for every particular purpose.

To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SQLite Cloud, Inc. and its officers, directors, employees, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, or loss of data, arising from your use of the Services.

To the maximum extent permitted by applicable law, SQLite Cloud’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:

These limitations apply regardless of the legal theory under which a claim is brought, to the extent permitted by law.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

11. Changes to These Terms

We may update these Terms to reflect changes in our Services, business practices, or legal requirements.

When we make material changes, we will provide reasonable notice through our website, email, or account dashboard.

The updated Terms will indicate their effective date.

By continuing to use the Services after the updated Terms become effective, you agree to the revised Terms.

If you do not agree with the changes, you may stop using the Services and terminate your account.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services will be subject to the jurisdiction of the competent state or federal courts located in Delaware, unless applicable law requires otherwise.

Before initiating formal legal proceedings, both parties agree to make a reasonable effort to resolve disputes informally and in good faith.

13. General Provisions

These Terms, together with any applicable separate written agreements, constitute the agreement between you and SQLite Cloud regarding your use of the Services.

If you have entered into a separate written agreement with SQLite Cloud, that agreement will control in the event of a conflict with these Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision does not constitute a waiver of our rights.

Neither party will be responsible for delays or failures caused by events beyond its reasonable control, except for payment obligations.
